Terms of Service

1. Acceptance of these Terms
These Terms of Service ("Terms") are a binding agreement between you and APEXPlayer LLC, a Wyoming limited liability company ("APEXPlayer," "we," "us"). By accessing or using the APEXPlayer website, applications, or services (together, the "Service"), you agree to these Terms and to our Privacy Policy and Refund Policy, which are incorporated by reference. If you do not agree, do not use the Service.
2. The Service
APEXPlayer is a software analytics platform. We use machine-learning models trained on historical and live sports data to publish probability forecasts for sporting events, together with the data and reasoning behind them. The Service is informational only.
3. Informational purposes only; no wagering
APEXPlayer is not a sportsbook, casino, or gambling operator. We do not accept, place, broker, or facilitate wagers, and no money is ever staked on or through the Service.
- All forecasts are probabilistic estimates, not guarantees. Sports outcomes are inherently uncertain, and no model, including ours, can reliably assure any result.
- Nothing in the Service constitutes financial, investment, legal, or betting advice, or a recommendation to place any wager.
- If you choose to use information from the Service in connection with sports betting, you do so at your own risk and entirely at your own discretion. Sports betting is illegal in some jurisdictions. You are solely responsible for knowing and complying with the laws that apply where you live, and you agree not to use the Service in connection with any unlawful activity.
- We make no representation that using the Service will result in profit. Most people who bet on sports lose money over time.
4. Eligibility
You must be at least 18 years old (and at least the age of majority in your jurisdiction) and legally capable of entering a binding contract to use the Service. The Service is directed to users in the United States. By using the Service you represent that you meet these requirements.
5. Accounts
You are responsible for your account credentials and for all activity under your account. Provide accurate information and keep it current. Notify us promptly at support@apexplayer.ai of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
6. Subscriptions and billing
- Paid features are offered on a subscription basis. Prices and plan details are presented at checkout.
- Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from your account settings or by emailing us; cancellation takes effect at the end of the current billing period.
- Payments are processed by third-party payment processors. We do not store full payment card numbers.
- We may change prices with at least 30 days' notice; changes apply from your next renewal.
- Refunds. Refunds are governed by our Refund Policy. In summary: you may request a refund by emailing support@apexplayer.ai within 30 days of a charge; to be eligible you must be able to show that you genuinely used, or made a genuine attempt to use, the Service; requests are reviewed individually against our account and usage records, and not all requests are eligible. The Refund Policy contains the full conditions and controls if there is any conflict with this summary.
7. Acceptable use
You agree not to: (a) resell, redistribute, or publicly republish forecasts or data from the Service without our written permission; (b) scrape, crawl, or access the Service by automated means except through interfaces we provide; (c) reverse engineer or attempt to extract our models or source code; (d) share your account or circumvent access controls; (e) use the Service in violation of any law; or (f) interfere with the operation or security of the Service.
8. Intellectual property
The Service, including our models, software, forecasts, text, and branding, is owned by APEXPlayer or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use in accordance with these Terms. No other rights are granted.
9. Third-party data and links
The Service incorporates data from third-party sources and may link to third-party sites. We do not control and are not responsible for third-party data, sites, or services, including their accuracy or availability.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT FORECASTS WILL BE ACCURATE, THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY USE OF THE SERVICE WILL PRODUCE ANY PARTICULAR OUTCOME OR PROFIT.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, APEXPLAYER AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, MONEY WAGERED OR LOST, OR LOSS OF DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. SOME STATES DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify and hold APEXPlayer harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
13. Dispute resolution; arbitration; class-action waiver
Please read this section carefully — it affects your legal rights.
- Informal resolution first. Before filing a claim, contact us at support@apexplayer.ai; we will try to resolve the dispute informally within 30 days.
- Binding arbitration. Any dispute arising out of these Terms or the Service that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted remotely or, if in person, in Wyoming or the county where you reside, at your election.
- Class-action waiver. Disputes will be resolved only on an individual basis. You and APEXPlayer each waive the right to a jury trial and to participate in a class action.
- Opt-out. You may opt out of this arbitration agreement by emailing us within 30 days of first accepting these Terms with the subject line "Arbitration Opt-Out."
- Exceptions. Either party may bring an individual claim in small-claims court or seek injunctive relief for intellectual-property infringement in court.
14. Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs Section 13.
15. Changes to the Service or these Terms
We may modify the Service or these Terms. For material changes, we will provide notice (for example, by email or in-Service notice) at least 14 days before they take effect. Continued use after the effective date constitutes acceptance. If you do not agree to changed Terms, stop using the Service and, if applicable, cancel your subscription.
16. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination (including Sections 8, 10–14) survive.
17. Miscellaneous
These Terms, together with the policies incorporated by reference, are the entire agreement between you and APEXPlayer regarding the Service. If any provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
